Terms of Service

1. Acceptance of Terms

By accessing or using the Skill Control Plane platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

2. Description of Service

Skill Control Plane is a multi-tenant SaaS platform for governing, securing, and distributing AI agent skills across organizations. The Service includes a web dashboard, MCP server, API access, and related tools.

3. Account Registration

You must provide accurate, complete registration information. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must notify us immediately of any unauthorized use.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law
  • Upload or distribute malicious skills, code, or content
  • Attempt to gain unauthorized access to other accounts, systems, or networks
  • Interfere with or disrupt the Service or its infrastructure
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Resell or redistribute the Service without written authorization

5. Intellectual Property

You retain ownership of skills and content you upload. By uploading content, you grant us a limited license to host, process, and display it as necessary to provide the Service. The Service itself, including its design, code, and documentation, is our intellectual property.

6. Billing & Subscriptions

Paid plans are billed in advance on a monthly or annual basis. Usage-based charges (e.g., MCP calls) are billed in arrears. All fees are non-refundable except as required by law. We may change pricing with 30 days notice. Downgrades take effect at the end of the billing period.

7. Termination

Either party may terminate at any time. Upon termination, your right to use the Service ceases immediately. We may suspend or terminate accounts that violate these Terms. Data retention after termination is governed by our Privacy Policy.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify and hold us harmless from claims, damages, and expenses arising from your use of the Service, your content, or your violation of these Terms.

10. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via the Service or email. Continued use after changes constitutes acceptance. If we update the Terms, you will be asked to re-accept them before continued use.

11. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law provisions.
